LOCATION TALENT TERMS of SERVICE

BASIC TERMS

1) Parties to this Agreement:
The parties to this agreement are Location Talent, L.L.C., and You, the "user." Your use of Location Talent's website, services, products, and/or software, hereinafter referred to as "Location Talent" or the "website" is subject to the terms and conditions set out in this agreement. "Location Talent" is owned and operated by Location Talent, L.L.C., P.O. Box 83755, Baton Rouge, La. 70884-3755.

1) Any use of "Location Talent" by you, hereinafter "user," constitutes acceptance of all terms, conditions, representations, obligations, and warranties set forth herein (hereinafter, the "terms") and is a legally binding agreement between "user" and "Location Talent." As a legally binding agreement, it is important you carefully read and review all of the "terms."

2) "User "attests that he (she) is: a) Eighteen(18) years of age or older(Twenty-one (21) in places where eighteen is not the age of majority) or if a minor that user has the consent of a legal parent or guardian, and (b) is fully competent and able to enter into and understand the mutual obligations, rights, and duties set forth herein in the "terms."

3) "Location Talent' agrees to give "user" permission to use the "website" solely for personal, promotional purposes. "User" hereby warrants and represents that he does not intend to use the "website" for commercial exploitation of material of any kind.

4) "User" does hereby represent and warrant to "Location Talent" that it owns now or has obtained all necessary licenses, permissions, and/or consent to use all pictures, text, sounds, music, audio files, videos, or any other types of images, still or moving (hereinafter all referred to as "content") that is placed onto the "website" by "user."

5) "User" agrees that "Location Talent" may change the form and character of the "website" without prior notice to user.

6) "User" agrees that "Location Talent" may set limits on the amount of "content" user may post to the "website" in accordance with the terms and conditions set forth in any "membership agreement" entered into with "user."

7) All text graphics, logos, photos, software, videos and the like appearing on the "website" are owned ,exclusively by or are licensed to "Location Talent" and as such are the sole property of the "website" and may not be used, modified, reverse engineered, or have source code extracted without the express, written consent of "Location Talent," and are subject to copyright, trademark, and all other intellectual property rights under United States, International, and/or Foreign laws .

8) By posting "content" onto the "website" user gives "Location Talent" the right to modify, change, adapt, display, and publish said content on the "website" unless and until "Location Talent" receives written notification of "user's" request to have such content removed.

9) "Location Talent" does not warrant that the "website" will necessarily work with your computer system and any use of the "website" is done at "user's" sole risk and the "website" is provided "as is."

10) "Location Talent" does not warrant that "user's" use of site will never be interrupted or without error(s). "Location Talent" does warrant that it will use it's best effort to remedy problems in a timely fashion, but "user" acknowledges and accepts that such events may occur from time to time.

11) "Location Talent" in no way guarantees that use of the "website" will lead to employment now, or in the future, of "user." Nor does "Location Talent" make any representations that "user" will in fact receive inquiries regarding employment by using the website. "User" accepts and acknowledges that his/her use of the "website" is but one of many ways to expose talent to potential users of talent.

12) User acknowledges that "Location Talent" does not endorse websites, products, or content offered in advertisements or websites linked to "Location Talent" by third-party licensees or advertisers and that it has no control over the content of such.

13) The terms and conditions of "Location Talent's" Privacy Notice, found at http://www.locationtalent.com/t/privacy are hereby incorporated by reference and agreed to by the parties.

14) User agrees that this agreement is subject to change by "Location Talent" at any time and that upon effective notice to "user" by e-mail or posting any such changes shall be deemed effective and "user's" use of the "website" after the date of any such notice shall be deemed an acceptance of the new terms by "user."

15) Code of Conduct

a) The "website" conforms to generally accepted, community standards of decency. As such, the "website" reserves the right to remove and/or edit any materials posted to the "website" by "user" that are obscene, pornographic, defamatory, libelous, criminal, hateful, or offensive to such generally accepted standards.
b) "Location talent" does not endorse any of the views, beliefs. or opinions expressed in "content" posted by " user(s)" on the "website"
c) "Location Talent" does not permit copyright or intellectual property infringement, and upon proper notice of such infringement, shall remove such "content" without any prior notice to "user."

16) "User" hereby agrees that the "website" shall be deemed solely based in Louisiana and that this agreement and all the terms and conditions herein shall by governed by the laws of the state of Louisiana. Furthermore, it is agreed that any and all disputes with the "website" shall be decided in a court of competent jurisdiction in East Baton Rouge Parish in the state of Louisiana.
